4.2The confidentialityobligations setforthinthis Article4shall survivethetermination orexpiration of this Agreement.

5.Intellectual Property

5.1Each Partyshall retainall right,title,and interestin andto itsrespectiveintellectual propertyrights,as existingbefore,during,and aftertheterm ofthisAgreement.

5.2The Partiesagree thatany improvements,modifications,or derivativeworkscreated inconnection withthecooperationunder thisAgreement shallbe jointlyownedby the Parties.

6.Indemnification

6.1Each Partyshall indemnifyand holdharmless theotherPartyagainst anylosses,damages,claims,or liabilitiesarising outof orinconnection withany breach ofthisAgreement bysuch Partyor itsrepresentatives.

7.Dispute Resolution

7.1Any disputesarising outof orinconnectionwiththisAgreementshallberesolved bynegotiations between theParties.

7.2If theParties failto resolveany disputesthrough negotiations,suchdisputes shallbe submittedto thecourts of[Jurisdiction]for resolution.

8.Miscellaneous

8.1This Agreementconstitutes theentire agreementbetweentheParties withrespecttothesubject matterhereofandsupersedes allprior agreements,understandings,negotiations,and discussions,whether oralor written,of theParties.
