LEASECOMMERCIALmade the4th day of January,20XXBETWEEN:xxxxxHXXXX-and-XXXXXXXXC.,carrying onbusiness asXXXXXXillXXXXXXXXXanr-andJXXXNGXXter calledthe“XXXX”IN CONSIDERATIONof therents,covenants andobligations stipulatedherein the Landlord andthe Tenant haveagreed toenter intoa Leaseof the Premises knownmunicipally asXXXXe,XXXo,XXXXo,thePremises
1.GRANT OFLEASE1The Landlordleases the Premises to the Tenant:a at the Rentset forthin Section2;b for the Termset forthin Section3;andc subject to the conditions and in accordance with thecovenants,obligations andagreementsherein.2The Landlord covenants that he hasthe right to grantthe leaseholdinterest in the Premisesfree fromencumbrancesexcept asdisclosed on title.
2.RENT andADDITIONAL RENT1Rent meansthe amounts payable by the Tenant to the Landlord pursuant to thisSection andincludesAdditional Rent.2The Tenant covenants to pay to the Landlordduring the Term of this Leaserenttermination of the Leasenotwithstanding anyprovisions of this Leaseto thecontrary.3The Tenant shall carryinsurance in his ownname to provide coveragewith respect to therisk ofbusinessinterruption to an extentsufficient to allow the tenant tomeet hisongoing obligationstothe Landlord and to protect the Tenant again loss ofrevenues.4The Tenant shall carryinsurance inhis ownname insuring against therisk of damage to theTenants propertywithin the Premises caused by fireor other perils and the policy shall provideforcoverage ona replacementcost basistoprotectthe Tenantsstock-in-trade,equipment,TradeFixtures,decorations andimprovements.5The Tenant shall canypublic liabilityand property damage insurancein whichpolicy theLandlord shall benamed insuredand thepolicyshallinclude across-liability endorsement;a and the Tenant shall provide the Landlordwith copy of thepolicy.
9.DAMAGE TOTHE PREMISES1If the Premises or the buildingin which the Premises are located,are damagedor destroyed,inwhole or in part,by fireor otherperil,then the following provisionsshall apply:a if the damage or destructionsrenders the Premises unfit for occupancyand impossibletorepair orrebuild usingreasonable diligencewithin120clear days from the happening of suchdamage or destruction,then the Term hereby granted shallcease from the datethe damage ordestruction occurred,and the Tenant shall immediately surrender the remainderof the Term andgivepossession of the Premisesto the Landlord,and the Rent from the timeof thesurrender shallabate.b If the Premisescan withreasonable diligencebe repairedand renderedfitforoccupancywithin120days from thehappeningof thedamageordestruction,but thedamage rendersthePremises whollyunfit foroccupancy,then therent herebyreserved shall not accrueafter thedaythat suchdamage occurred,or whilethe processof repairis goingon,and the Landlord shallrepairthe Premises with allreasonable speed,and the Tenants obligationto pay Rent shallresumeimmediately after the necessary repairs have been completed.2Any questionas to the degreeofdamageordestruction or theperiod oftime required to repair orrebuild shall be determinedby anarchitect retainedby the Landlord.3Apart from the provisionsof section91there shall be noabatement from or reductionof theRent payable by the Tenant,nor shall the tenantbe entitled to claimagainst the Landlord for anydamages,general orspecial,caused by fire,water,sprinkler systems,partial ortemporary failureorstoppage ofservices orutilities which the landlordis obliged toprovideaccording tothis Lease,from anycause whatsoever.
10.ACT OFDEFAULT ANDLANDLORD SREMEDIES.1An actof Default has occurredwhen:a the Tenant hasfailed to payRentfora period of15consecutive days,regardless ofwhether demandforpayment has been made or not;b the Tenant hasbreached hiscovenants orfailed toperform anyof his obligations under this Lease;andi the Landlord hasgiven noticespecifying thenature of the defaultand thesteps requiredto coiTectit;andii the Tenant hasfailed tocorrect thedefault asrequired by the notice;c the Tenant has:i becomebankrupt orinsolvent or made anassignment for the benefit of Creditors;ii hadits propertyseized or attached insatisfaction of a judgment;iii hada receiverappointed forits business;iv committed any actor neglectedto doanything with the resultthat aConstruction Lienor otherencumbranceis registeredagainst the Landlords property;vwithout the consent of the Landlord,madeorentered intoan agreementto makea saleof itsassets towhich the BulkSales actapplies;vi takenaction if the Tenant is a corporation,with aview towinding up,dissolution orliquidation;danyinsurance policyis cancelledor notrenewed by reason of the use or occupationof the Premises,or byreasonof non-payment ofpremiums;ethe Premises:i becomevacant orremain unoccupiedfor aperiodof32consecutive days;orii arenot open for business on morethan thirty30business daysin anytwelve12month periodor onanytwelve12consecutive businessdays;iii areusedby any otherperson or persons,or for any otherpurpose thanas provided for in this Leasewithout the writtenconsent of the Landlord.2When anAct of Default on the part of the Tenant hasoccurred.a thecurrent monthsrent togetherwith thenext three months*rent shall become dueand payableimmediately;andb the Landlord shall have the right to terminate this Lease and to re-enter the Premises anddeal withthemas hemay choose.3If,because anAct ofDefault hasoccurred,the landlordexercises his right toterminate this Lease andreenter the Premisesprior to the end of the Term,the Tenant shall neverthelessbe liablefor payment of Rentand all otheramountspayableby the Tenant inaccordance with the provisionsof this Lease until the Landlordhasre-let the Premises or otherwise dealtwiththe Premises insuch mannerthat thecessation ofpayments bythe Tenant willnot resultinlossto the Landlord:a and the Tenant agrees to be liable to the Landlord,untilthe endof the Term of thisLese forpayment ofanydifference between the amount of Renthereby agreedto bepaid for the Termherebygrantedandthe Rentany newtenant paysto the Landlord.4The Tenantcovenants thatnotwithstanding any present or future Act of theLegislature of the ProvinceofOntario,the personalproperty of the Tenantduring theterm of this Lease shall not be exemptfrom levybydistress fbrRent in arrears:a and the Tenantacknowledges thatit isupon theexpress understandingthat thereshould be no suchexemptionthat this Lease isentered into,and byexecuting this Lease:i the Tenant waivesthe benefitof anysuch legislativeprovisions whichmight otherwisebeavailable to the Tenant in theabsence of this agreement;andii the Tenant agrees that the Landlord mayplease thiscovenant as an estoppel against the Tenant,ifan actionis broughtto testthe Landlordsright tolevy distressagainst the Tenants property.5If,when anAct ofDefault hasoccun-ed,the Landlordchooses nottoterminatethe Leaseand re-enter thePremises,the Landlord shall have theright to takeany and all necessarysteps torectify anyor allActs ofDefaultof the Tenant and to chargethe costsof suchrectification to the Tenantand torecover the costs asRent.6If,when anAct ofDefaulthasoccurred,the Landlordchooses towaive hisright to exercise theremediesavailable tohim under this Lease or atlaw the waiver shall not constitutecondonation of the Act ofDefault,nor shall thewaiverbe pleadedasanestoppelagainst the Landlord to preventhis exercisinghis remedieswithrespect toa subsequentActofDefault:1No covenant,term,or conditionof this Lease shall be deemedto havebeen waivedby the Landlordunless thewaiver isin writingand signedby the Landlord.
11.TERMINATION UPONNOTICE ANDAT ENDOF TERM1if the Landlord desiresat any time toremodel ordemolish the Premises or any part thereof,toanextentthat renderscontinued possessionby the Tenant impracticable,the Tenantshall,upon receivingone hundredandeighty180clear days1written noticefrom the Landlord:a surrenderthis Lease,including anyunexpired remainderof the Term;andb vacate the premisesand givethe Landlordpossession.2If the Premises are subjecttoan Agreementof Purchaseand Saleor if the Premises are expropriatedorcondemned byany competentauthority;a the Landlord shall have theright toterminate this Lease bygiving ninety90clear days*notice inwriting to the Tenant;orb the Landlord may require the Tenant tovacatethe Premises withinthirty30daysfrompayment bythe Landlord to the Tenant of abonus equal to three3months*rent,1but payment of thesaid bonusshall be accompanied orpreceded bywritten noticefromthe Landlordto the Tenant advisingof the Landlords intenttoexercisethis option.3The Tenantagrees to permit the landlord during the lastthreemonthsof the Term of this Leaseto displayForRent*or ForSale signsor bothat the Premises and to showthe Premisesto prospectivenew tenantsorpurchasers andtopermitanyone havingwritten authorityof the Landlord toview the Premises atreasonablehours.4If the Tenant remainsin possession of the Premises aftertermination ofthis Lease as aforesaidand if thelandlord thenaccepts rentfor the Premises fromthetenant,it is agreed thatsuch overholding by the Tenantandacceptance of Rent by the landlordshall createa monthlytenancy onlybut thetenancy shallremainsubject toallthe terms and conditions ofthis Leaseexcept thoseregarding the Term.
12.ACKNOWLEDGEMENT BYTENANTThe Tenantagrees thathe willat anytime or times during the Term,upon beinggiven at least forty-eight48hours priorwritten notice,execute anddeliver to the Landlord a statementin writingcertifying:a thatthis Lease is unmodifiedand isin fullforce andeffect orif modifiedstating themodifications andconfirmingthat the Leaseisin fullforce andeffect asmodified;b theamountof Rent beingpaid;c the dates towhich Renthas been paid;d other charges payable underthis Lease whichhavebeenpaid;eparticulars of any prepaymentofRentor securitydeposits;andf particularsof any subtenancies.^.SUBORDINATION ANDPOSTPONEMENT1This Leaseand allthe rightsof the Tenant underthis Leasearesubjectand subordinateto anyand allchargesagainst theland,buildings orimprovements ofwhichthe Premises form part,whether thecharge isinthe natureof amortgage,trust deed,lien or any otherform ofcharge arising fromthefinancing orre-financing,including extensionsor renewals,of the Landlords interestin theproperty.2Upon therequest of the Landlordthe Tenantwill executeany formrequiredtosubordinate the Lease andthe Tenants rightsto anysuch charge,and will,if required,attorn to the holder of thecharge.3No subordinationby thetenant shallhave theeffect ofpermitting theholderof any chargeto disturb theoccupation andpossession of the Premises by thetenant aslong asthe Tenantperforms his obligations underthis Lease.
14.RULES ANDREGULATIONSThe Tenantagrees on behalf of itself andall personsentering the Premiseswiththe Tenantsauthority orpermissionto abideby suchreasonable rulesand regulationsthat formpartofthis Leaseand asthe Landlordmaymake from time to time.
15.NOTICE1Any noticerequired orpermitted tobe given by one party to the otherpursuant to the terms of thisLeasemay be given:To the Landlord at:To the Tenant at the Premises orat:2the aboveaddresses may be changedat anytime bygiving ten
10.days written notice.3any noticegiven byonepartyto theother inaccordancewiththe provisionsofthis Lease shall be deemedconclusivelyto havebeen receivedon thedate deliveredifthe notice isserved personallyor seventy-two72hours aftermailing,ifthenotice ismailed.
16.REGISTRATIONThe Tenantshall notat anytime registernotice oforacopyofthis Leaseontitleto theproperty ofwhich thepremisesformpartwithout consentof the Landlord.
17.INTERPRETATION1The wordsimporting thesingular numberonly shallinclude theplural,and viceversa,and wordsimportingthe masculinegender shallinclude thefeminine gender,and wordsimporting personsshall includefirmsand corporationsand viceversa.2Unless thecontext otherwiserequired,the wordLandlord“andtheword Tenant”wherever usedhereinshall beconstrued toinclude theexecutors,administrators,successors and assigns of the Landlord and Tenant,respectively.3When thereare twoor moreTenants boundby thesame covenantsherein contained,their obligationsshallbe jointand several.IN WITNESSWHEREOF the foregoing covenants,theLandlordandthe Tenant haveexecuted this Lease.Witness:CXXMOSTOXYIOXXXI XXXINC.Per:__________________Name:Position:I haveauthority tobind thecorporationxxxx-xxxxas follows:a during theTerm,the monthlyrental shall be as follows,plus HST,payable inadvance onthe1st dayof eachand everymonth,commencing on the first dayofMarch,20XX andending February28,

4.If the Tenant electsto havethe Premisesassessed forseparate schooltaxes,the Tenantshall pay theamount bywhichtheseparate schooltaxes exceedthe RealtyTaxes whichwould havebeenpayable by thelandlordhad suchelection not been made.dBusiness Taxes:To pay,when thesame becomedue,andtosave theLandlord harmlesswithrespect thereto,all businesstaxes fromtime to time leviedagainst,or payableby the Tenantinrespectof the Tenants occupancy of the Premises.e HarmonizesSales Tax:The Tenantshall payto theLandlord,at thesame timeortimesasthe Tenantshall makepaymentofRent,all HarmonizedSales Taxexigible withrespect to such Rentpursuantto theExcise TaxAct Canada and any other similargoods andservices tax,value addedtaxor multi-staged taxwhether imposedby thefederal governmentor otherwise,including anyfutureharmonized salestax orsingle salestax collectivelyreferredtoherein asHSTf Indemnificationof Landlord;To indemnifyand keep indemnified theLandlord inrespect ofalllosses,costs,charges,penalties andexpenses occasionedby,or arisingfrom,the non-payment ofanyand everytax,rate,assessment,charge,expense orfee,including anybusiness orsimilar taxassessedagainstthe Tenant oranysub-tenant orlicensee orother personsoccupying the Premises orany part thereof and providedthat thesame shallbeacharge onthePremisesorin any waytheultimate responsibilityof theLandlord,unless thesame shallhave alreadybeenpaidby the Tenant totheLandlord,and providedthat thesame shall notbeofakind personalto theLandlord,such astaxeson theIncome of theLandlord.g Paymentof Utilities:In eachand everyyear during theTermto pay,satisfy anddischarge,directly orindirectly,all chargesin connection with water,electrical current,gas,rentalcharges forgas orelectrically operatedhot waterheaters andother publicor privateutilities orservicesextraordinary aswell asordinary,supplied at anytimeto the\premises.The Landlordmay atitsoption haveinstalled in thePremisesseparate metersfor anyone ormore ofsuch servicesandin血such eventmayrequirethe Tenantto paydirectly tOservice suppliersuch charges.The Tenantshallreimburse theLandlord for the cost ofsuchmeters forthwithupon demand.Water shallbe usedonlyfor washroompurposes andnot for any puiposeconnected withthe Tenantsbusiness unlessotherwiseexpressly permittedherein,The Landlordhereby confirmsthat thehydro metershave beeninstalledand that the premisesare separately metered.The partieshereto confirmthat gascharges arenotseparatelymeteredforthepremises.The Tenantshall,in additiontoallothercharges,payone-half of the gascharges applicableto theentire property.h LandlordsInsurance-The Tenantshall payto theLandlord,the costof the Landlordsinsurance premium.Notwithstanding anycontribution by the Tenantto the costof the insurancepremiumsprovided hereintheTenantacknowledges andagrees that.A The Tenant is not relievedof anyliability arisingfromoreontribated to by itsnegligenceorthewillful actor omissions;B Noinsurable interestis conferredupon theTenant underany policiesof insurancecarriedby theLandlord,C The Tenant hasno rightto receiveany proceedsofanysuch insurancepoliciescarried by theLandlord.3All paymentstobe made by theTenantpursuanttothis leaseshallbedelivered to the Landlordatthe Landlordsaddress forservice setout in Section15or tosuch otherplace astheLandlordmayfrom timetotimedirect in writing.4The Tenantagrees topay inadvance to theLandlordatthecommencement of theTermthe firstandlast months,Rentpayableunder Section22ofthis Lease.5All Rentinarrearsandallsums paidby thelandlord for expenses incurredwhich shouldhave beenpaidby theTenantshallbear interestfromthedate paymentwas due,ormade,orexpenseincurred,atarateper annumequal to the primecommercial lendingrate of the Landlordsbank plustwo2per cent.6The Tenantacknowledges andagrees that the paymentsofRentprovided forinthis Leaseshallbemae withoutany deductionsfor anyreason whatsoeverunless expresslyallowed bythetermsofthisLease oragreedtobytheLandlord in writing;anda nopartial paymentbythetenant whichis acceptedbytheLandlordshallbe consideredas otherthana partialpayment onaccount ofRent owingand shall not prejudicetheLandlordsrighttorecover anyrentowing.
3.TERM ANDPOSSESSION1The Tenantshallhavepossession ofthePremisescommencing onthe1stdayofMarch,20XX andending onFXXXX XX,20XX.The“Term2Subject totheLandlordsrights underthisLease,andaslong asthe Leasein in good standingtheLandlordcovenants thattheTenantshallhave quietenjoyment ofthePremises during theTerm ofthisLease withoutany interruptionor disturbancefromtheLandlord orany otherperson orpersonslawfully claimingthrough theLandlord.3If theTenant failsto takepossessionofthePremisesor toopenforbusinessonor beforethedate specifiedfor commencementoftheTerm ofthisLease,theLandlordshall,in additiontoany other remedies,havetherighttoterminate thisLease upon24hours writtennotice totheTenant,andtorecover fromtheTenantthecostof allwork donebytheLandlord onbehalf oftheTenant.4If forreasons beyondtheLandlordscontrol,vacant possessionofthePremises cannotbegiven totheTenantonthecommencement date oftheTerm oftheLease,theLeaseshallremain ineffect buttheTenantshall notbe requiredtopayRent untilthedatewhenpossession isactually givertotheTenant;a butif possessionisnotgiven withinninety90clear daysfrom thecommencementdateofthisLeaseeither partymay terminatethisLeasebywritten notice totheother;b and any delayinthe actual occupationbytheTenantofthePremisesshall notextendtheTerm oftheLease.
3.A.RENEWAL OPTIONProvidedthattheTenant isnot thenin default,has notduring theterm ofthis leasebeen in default ofanycovenant,agreement orprovision*****,theTenantshallhavethe optionto renewthisLeaseforanadditionalterm offive5years,on writtennotice deliveredbytheTenanttotheLandlordatleastsix6months andnotmore thantwelve12months priortotheexpiration oftheTerm herein,onthesame termsandconditionsascontained herein,save and except thatthere shallbenofurther rightof renewaland saveandexceptas totheRent whichshallbeequaltothe thenfair marketrental forthePremisesas agreedupon bythe panicsherewacting reasonably,but inno eventless thanthe annualRent paid duringthe last year oftheTermherein.If thepartiesare unableto agreeupon,theRentfor suchrenewal period,then suchrent shallbe determinedbyarbitration pursuanttotheArbitrations Actof Ontario.The costof saidarbitration shallbe borneequallybetween theLandlordandTenant.Until thedetermination oftheRentis madeas aforesaid,theTenantshallcontinue topaytotheLandlordthe Rempaidduringthelastyearofthe previousterm,which rentshall beadjusted,if necessary,betweentheLandlordandTenant immediatelyafterthesaid determination.
4.ASSIGNMENT1The Tenantshall notassign thisLease orsublet thewhole orany partofthePremisesunless hefirst obtainstheconsentoftheLandlord in writing,which consentshall notreasonablybe withheld:a andtheTenanthereby waiveshisrighttothebenefitofanypresentorfutureActoftheLegislature ofOntario whichwould allowtheTenantto assignthisLeaseor subletthepremises withouttheLandlordsconsent.If theTenantisacorporationand therehasbeena changeof controlin thecorporation,the Guarantorshall notbe releasedfrom anyliability herein.2The consentoftheLandlordto any assignment or sublettingshall notoperate asa waiverofthe necessityfor consentto anysubsequent assignment or subletting.3Any consentgranted bytheLandlordshallbeconditional uponthe assignee,sublessee oroccupantexecuting awritten agreementdirectly withtheLandlordagreeing tobe boundbyallthetermsofthisLeaseas ifthe assignee,sublessee oroccupant hadoriginallyexecuted thisLeaseas Tenant.4Any consentgivenbytheLandlordto anyassignmentorother dispositionofthe Tenantsinterest trelieve theTenant fromhisobligationsunderthisLease,including theobligationto payRent andAdditional Rentas provided for herein5If theparty originallyentering intothisLeaseasTenant,oranyparty whosubsequentlybecomes theTenant byway ofassignmentorsublease orotherwise as providedforin thisLease,isacorporation then:a theTenantshallnotbeentitled todeal withits authorizedor issuedcapital orthat ofanaffiliated companyinanyway thatresults ina changein theeffectivevoting control oftheTenant unless theLandlordfirst consentsinwritingtothe proposedchange;b ifany changeis madeinthecontroloftheTenantcorporation withoutthe writtenconsentoftheLandlord thentheLandlordshallbeentitledtotreat theTenant asbeingindefaultandtoexercise theremedies stipulatedin paragraph102of thisLeaseand any otherremediesavailable inlaw;c theTenantagreesto makeavailable totheLandlordor hisauthorized representativesthecorporate booksand recordsoftheTenant forinspection atreasonable times.
5.USE1During theTermofthisLeasethePremisesshallnotbe usedfor anypurpose otherthanSXXXXX11withouttheexpress consentoftheLandlord giveninwriting.2The Tenantshallnotdo ofpermit tobe doneatthePremises anythingwhichmay:constitute anuisance;cause damage tothePremises;cause injury or annoyanceto occupantsof neighbouringpremises;make voidorvoidable anyinsurance uponthePremises;constitute abreach ofany by-law,statute,order ofregulation ofany municipal,provincial orother competentauthority relatingtothePremises;f violateany environmentallaws orregulations includingmunicipal by-lawsregulating environmentalmatters..
6.REPAIR ANDMAINTENANCE1The Tenantcovenantsthatduringtheterm ofthisLeaseand anyrenewal thereoftheTenants shallkeepingood conditionthePremisesincluding allalteration and additions madethereto,and shall,with orwithout notice,promptly makeall neededrepairs andall necessaryreplacements asabcde\|/XI/\lv\zwould aprudent owner:a buttheTenantshallnotbe liableto effectrepairs attributableto reasonablewearand tear,ortodamage causedby lightningor storm.thePremisesto examinetheconditionthereofandview thestate ofrepair atreasonable times:a andif uponsuch examinationrepairs arefound tobe necessary,writtennoticeofthe repairsrequired shallbegiventotheTenant by or onbehalf oftheLandlordandthe Tenantshall makethe necessaryrepairs withinthe timespecifiedinthenotice;b andiftheTenant refusesor neglectsto keep thePremisesingood repair theLandlordmay,but shallnotbeobligedto,make anynecessaryrepairs,and shallbepermitted toenterthePremises,by himselfor hisservants oragents,for thepurposeof effectingthe repairswithout beingliabletotheTenantforanyloss,damageorinconvenience totheTenantin connection withtheLandlords entryandrepairs;、i andiftheLandlord makesrepairs theTenantshallpaythecost ofthemimmediatelyas AdditionalRent.3Upon theexpiry oftheTerm orotherdetermination ofthisLeasetheTenantagreespeaceably tosurrenderthePremises,including any alterations or additions madethereto,totheLandlordinastate ofgoodrepair,reasonable wearand tearand damageby fire,lighting andstorm onlyexcepted.4The Tenantshall immediatelygive writtennoticetotheLandlordof anysubstantialdamage thatoccurs tothePremisesfrom anycause.
7.ALTERATIONS ANDADDITIONS1If theTenant,duringtheTermofthisLeaseoranyrenewal ofit,desires tomakeany alterationsoradditions tothePremises,including butnot limitedto:erecting partitions,attachingequipment,and installingnecessary furnishingsor additionalequipment oftheTenant5sbusiness,theTenantmay doso at his own expense,at anytime andfromtimetotime,if thefollowingconditions aremet:a beforeundertaking anyalterations oraddition theTenantshallsubmit totheLandlordaplan showingthe proposedalterations oradditions andtheTenant shallnot proceedto mayanyalterationoradditionunlesstheLandlordhas provethe plan,andtheLandlordshallnot unreasonablyor arbitrarilywithholdhis approval;1and itemsincludedinthe planwhich areregarded bythe Tenantas“Trade Fixtures^shallbedesignated assuch onthe plan;b anyandallalterations oradditions tothePremises made bytheTenantmustcomply withall applicablebuilding codestandards and by-laws ofthemunicipality in whichthePremisesarelocated.2The Tenantshallberesponsible fbrand paythecostofanyalterations,additions,installation orimprovement thatany governingauthority,municipal,provincial orotherwise,mayrequire tobemadein,onortothePremises.3No sign,advertisement ornotice shallbe inscribed,painted oraffixed bytheTenant,or;any otherperson ontheTenantsbehalf onanypartoftheinside ofoutside ofthe buildingin whichthePremisesarelocated unlessthe sign,advertisement ornotice hasbeen approvedin everyrespect bytheLandlord.4All alterationsandadditionstothePremises made by oronbehalfoftheTenant,otherthan theTenants Trade Fixtures,shallimmediatelybecome theproperty oftheLandlordwithoutcompensation totheTenant.5The Tenantagrees,at hisown expenseandbywhatever meansmaybenecessary,immediately toobtain therelease ordischarge ofany encumbrancesthat maybe registeredagainst theLandlordsproperty inconnectionwithany additionsor alterationstothePremisesmadebytheTenantor inconnectionwithany otheractivity oftheTenant.6IftheTenant hascomplied withhisobligationsaccording tothe provisionsoftheLease,theTenantmay removehis Trade Fixtures attheendoftheTermorother terminationofthisLease andtheTenantcovenantsthathewill makegood andrepairorreplace asnecessary anydamaged causedtothe Premises bythe removal oftheTenantsTradeFixtures7Other thanasprovidein paragraph76above,theTenantshallnot,duringtheTerm ofthisLeaseoranytime thereafterremove fromthePremisesany TradeFixtures orother goodsandchattels oftheTenantexcept inthefollowingcircumstances:a theremoval isintheordinary courseof business;btheTradeFixturehas becomeunnecessary fortheTenantsbusiness oris beingreplacedbyanew orsimilar TradeFixture;orc theLandlord hasconsented inwritingtotheremoval;but inany casetheTenantshall makegood anydamage causedtothePremisesbythe installationorremoval ofany TradeFixtures,equipment,partitions,furnishings andanyotherobjectswhatsoever broughtonto thePremisesbytheTenant.8TheTenantshall,athisownexpense,if requestedbytheLandlord,remove anyor alladditions orimprovementsmadebytheTenanttothePremisesduringtheTermand shallrepair alldamagecaused bythe installationortheremoval orboth.machinery,equipment oranyotherthing thatmight inthe opinionoftheLandlord,byreasonofits weight,size oruse,damage thePremisesoroverload thefloors ofthePremises.
8.INSURANCE1During theTermofthisLeaseandanyrenewal thereoftheLandlordshall maintainwith respecttothePremises,insurance coverageinsuringagainst:a lossor damagebyfire,lightning,storm andother perilsthat maycausedamage tothePremisesortheproperty oftheLandlordinwhichthe Premisesarelocated asare commonlyprovidedforas extendedperils coverageor asmaybe reasonablyrequired andobtained bytheLandlord;1andtheinsurance policyshall providecoverage onareplacement costbasis inan amountsufficient tocover thecostof allsigns andleasehold improvements;b liabilityfor bodilyinjuryordeath orpropertydamagesustained bythirdparties uptosuchlimits astheLandlordinhissole discretiondeemsadvisable;c rentalincome protectioninsurance withrespect tofire andotherperilsto theextentofone year*s RentpayableunderthisLease;1but suchinsurance andpaymentofthe proceedsthereof totheLandlord shallnot relievetheTenantofitsobligations tocontinuetopayrent duringany periodof rebuilding,replacement,repairing orrestoration ofthePremisesexcept asprovideinSection
9.2TheTenantcovenants tokeeptheLandlord indemnifiedagainst allclaims anddemandswhatsoever byany person,whether inrespecttodamagetopersonorproperty,arising outof oroccasionedbythemaintenance,useoroccupancyofthePremisesorthesubletting orassignmentof sameoranypartthereof.And theTenant furthercovenants toindemnify theLandlord withrespecttoanyencumbrance onor damagetothePremises occasionedbyorarisingfromtheact,default,or negligenceoftheTenant,its officers,agents,servants,employees,contractors,customers,invitees orlicensees:aandtheTenantagreesthattheforegoingindemnity shallsurvive the。
