3.Thedesignfeeisfixedbyinitialdesignestimation,ifthereisadifferencebetweenactualdesignfeeandestimatedfee,Party B shall return the overchargeand demandpayment of the shortage.The balancewill be settled at the lastpayment.
4.After theContractis executed,thedown paymentis regardedas apartofthetotal designfee.Article6Responsibilities ofboth parties:
6.1Responsibilities ofParty A:

1.According tothe contentsstated inArticle3of this Contract,Party Ashall submit toParty B basicmaterials and documentswithin specifiedtime andshould be responsible for the completeness,correctness andvalidityof thematerials and documents.Party Ashall notrequire Party B toconduct designin violationof relevantnationalstandards.In casethere is a delay of lessthan15days exceedingthe specifiedtime limit for thedelivery ofthe abovematerialsand documentsby Party A,the time limitforParty Bto deliverdesign documentsshall beextendedaccordingly;in casethere isa delayof more than15days exceedingthe specifiedtimelimitfor thedelivery oftheabove materialsanddocumentsby Party A,Party Bshall have the rightto re-determine the time for delivery ofthedesign documents.

2.IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerials providedby Party A iswrong/incomplete orParty Amakes majoralterations tothe approveddesignand theinformation given,as aresult ofwhich,has causedParly Bto redothe design work,or hasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementaryContract.PartyAshall compensateParty Bforthe additionalworkload inaccordance tothenewagreement.If PartyAhas agreedall thedesignworks conductedbyParty Bbeforetheconclusion oftheContract,itshallpay chargestoParty Baccordingly.

3.PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinthisContract.IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshall getthepriorconsent ofParty B andshouldmake additionalpayment forfastand immediateservice.

4.PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyBspersonnelwhoarebeingsent towork siteduring theconstruction stage.

5.PartyAshall protectthe designcopyright ofParty B.Without Party Bs consent,PartyAshall notrevise,duplicate ortransfer thedesign toa thirdparty oruse thedesign documentsfor otherprojects.If theabove-mentioned ishappened,PartyAshall takethe relativelegal responsibilityand Party Bshall havethe right toclaim.
6.2Responsibilities ofPartyB:

1.PartyBshall carryout designwork inaccordance withtechnological rulesand standardsprovided inthis Contract,submittoPartyAthe requireddesign documentsin rightcontent,time andcopies according to theclauseofArticle4and shall beresponsible forthequalityofthe design documents.

2.Thedesign lifeoftheconstruction projectshallbe50years.

3.Upondeliveryofthedesigndocuments,PartyBshallattendtheapprovalmeetingsheldbyPartyAandthe relevantcompetent authoritiesand shallberesponsible for makingthe necessaryadjustments,revisions andsupplementswhichdoesnotexceedhescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuch meetings.

4.PartyBisnotallowedtodiscloseandtransferanyproductdrawing,technicalandeconomicdatawhichareprovided byParty Ato athirdparty.In casethattheabove-mentioned ishappened,Party Bshalltaketherelativelegalresponsibility andParty Ashall havetheright toclaim.

5.PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithouthepermission ofParly A.Article7Default Responsibility:

1.During theperformance ofthe Contract,if PartyA requiresto terminateor cancelthe ContractbeforeParty Bstarts thedesignwork,PartyBwill notreturnthe down paymentalready paidby PartyA;if PartyB hasstartedthedesignwork,PartyAshallpayfortheactualworkloadalreadydonebyPartyB.Whentheactualworkloadofthedesignislessthanhalfoftheworkatthestage,PartyAshallpayhalfofthepaymentforthedesignworkatthestage.When theactual workloadofthedesign ismorethanhalf ofthe work atthestage,PartyAshallpayall thepaymentfor thedesignworkatthestage.

2.PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinIhisContract.Foreachday ofoverdue payment,2%o ofthe overduepayment shallbepaidby PartyA andthetimefordeliverybyPartyBshall beextended accordingly.Where thedelayofpayment hasexceeded30days,PartyBshallhavetherighttosuspendtheperformance oftheworkatthenextstageandgive writtennoticetoPartyA.In casethehigherauthorityorcompetentdepartmentofdesignapprovalwouldnotapprovethedesigndocumentsortheengineeringconstructionofthisContractis suspendedorstopped,Party Ashallpay thecluedesignfeetoPartyB

3.PartyBshallberesponsibleforcorrecting anyomission ormistake in their designdocuments beforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefor takingthe remedialmeasures,but alsoshall deductthedesignfee forthe partof suchlosses andshall paycompensationtoPartyAaccordingtothedegreeofsuchloss.Theamountofthecompensationshallbediscussedanddetermined bythePartiesas100%of theactualloss.

4.If itis PartyBs ownfault tohave delayedthe submissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct2%oofthedueamountofthedesignfeeonadailybasisforthe delayperiod.

5.After the Contract comesinto force,PartyBmay requiretermination orcancellation ofthe Contractandshall returnthedownpayment indouble.Article8Other provisions:

1.WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwoparties shallnegotiate fortheseadditional worksand signa supplementaryservice contract.

2.PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneededbyParlyBforthepurposeofdesigningtheproject.IfPartyBisrequestedtosubmitdesign documents,ofwhich,thenumberofcopies aremorethanthosestipulatedinArticle4ofthisContract,Party Ashallpay forthoseadditional copies.

3.In theprojects oftheContract,PartyBshall notappoint manufacturersor designersof constructionmaterialsand equipments.Where thereisanecessity thatPartyBshall cooperatewith PartyA inordering theconstructionmaterialsandequipments,therelevant feeshall bepaidbyPartyA.

4.If PartyA entrustsPartyBto undertakework andservices whichare beyondthis Contract,Party Ashallpayadditional fee.

5.WhenthisContract cannotbeexecutedbecauseoftheunforeseeablenatural forces,thetwoparties shalltimelynegotiateto solvetheproblem.

6.If anydispute arisesduringtheexecution ofthisContract,it shallbesettledby friendlyconsultation,Incasethatsuchconsultationfails,itshall besubmitted totheBeijingArbitration CommitteeorbroughttothePeoplesCourt.

7.This Contractshallbemade in6copies.PartyAshall hold3copies.PartyBshallhold3copies.

8.This Contractis preparedin bothChinese andEnglish languages,intheevent ofconflicts inany oftheprovisions betweenthetwo versions;provisions specifiedintheChineselanguage versionshall takeprecedence.

9.ThisContractshallcomeintoforce whenPartyAhaspaidthedownpaymenttoParty Bandbothparlieshave stampedand signedit.

10.This Contract,after ithas beensigned andstamped byboth parties,shallbesubmittedtothe localgovernmentauthority forendorsement.When itis considerednecessary,both partiescould sendthisContractto thelocalindustrial andcommercial administrationdepartments forregistration.This Contractis tobe terminatedandexpired itselfafterbothparties haveperformed theirdutiesas stipulatedinthis Contract.

11.Supplementaryagreementcouldbemadebetweenthetwopartiesincasethatanyadditionalclauseshallbeadded.Thesupplementaryagreementandanycorrespondence,includingfaxes,telegrams,meetingminutesagreedbybothparties arccomponents oftheContract,which shallhavethesame effectas thisContract.ThisContract issignedin ondatemonthyear.PartyA:PartyB:Stamp StampLegal Representative:LegalRepresentative:Contract SigningRepresentative:Contract SigningRepresentative:Address:Address:PostCode:PostCode:Tel:Tel:Fax:Fax:Name ofbank:Name ofbank:Bank account:Bank account:Record atthecompetent constructionadministrationdepartment:Verification opinion:Record No.:Handling person:Date ofrecord:Date ofverification:。
