SalesContract销售合同ContractNO:Signedat:Date:TheBuyers TheSellersTheBuyersagreetobuyandtheSellersagreetosellthefollowinggoodsontermsandconditionsassetforthbelow NameofCommoditySpecificationsandPackingQuantityUnitPriceTotalValueShipmentQuantity%moreorlessallowedTimeofShipment PortofloadingPortofDestination InsuranceTobecoveredbythe_for110%oftheinvoicevalueagainst.TermsofPayment ByconfirmedirrevocabletransferableanddivisibleletterofcreditinfavourofpayableatsightwithTTreimbursementclause/_days/sight/dateallowingpartialshipmentandtransshipment.ThecoveringLetterofCreditmustreachtheSellersbeforeandistoremainvalidin.Chinauntilthe15thdayaftertheaforesaidtimeofshipmentfailingwhichtheSellersreservetherighttocancelthisSalesContractwithoutfurthernoticeandtoclaimfromtheBuyersforlossesresultingtherefrom.Inspection TheInspectionCertificateofQuality/Quantity/Weight/Packing/SanitationissuedbyofChinashallberegardedasevidenceoftheSellersdelivery.ShippingMarks OTHERTERMSDiscrepancy IncaseofqualitydiscrepancyclaimshouldbelodgedbytheBuyerswithin30daysafterthearrivalofthegoodsattheportofdestinationwhileforquantitydiscrepancyclaimshouldbelodgedbytheBuyerswithin15daysafterthearrivalofthegoodsattheportofdestination.InallcasesclaimsmustbeaccompaniedbySurveyReportsofRecognizedPublicSurveyorsagreedtobytheSellers.ShouldtheresponsibilityofthesubjectunderclaimbefoundtorestonthepartoftheSellerstheSellersshallwithin20daysafterreceiptoftheclaimsendtheirreplytotheBuyerstogetherwithsuggestionforsettlement.ThecoveringLetterofCreditshallstipulatetheSellerssoptionofshippingtheindicatedpercentagemoreorlessthanthequantityherebycontractedandbenegotiatedfortheamountcoveringthevalueofquantityactuallyshipped.TheBuyersarerequestedtoestablishtheL/CinamountwiththeindicatedpercentageoverthetotalvalueoftheorderasperthisSalesContract.ThecontentsofthecoveringLetterofCreditshallbeinstrictconformitywiththestipulationsoftheSalesContract.IncaseofanyvariationthereofnecessitatingamendmentoftheL/CtheBuyersshallbeartheexpensesforeffectingtheamendment.TheSellersshallnotbeheldresponsibleforpossibledelayofshipmentresultingfromawaitingtheamendmentoftheL/CandreservetherighttoclaimfromtheBuyersforthelossesresultingtherefrom.ExceptincaseswheretheinsuranceiscoveredbytheBuyersasarrangedinsuranceistobecoveredbytheSellerswithaChineseinsurancecompany.Ifinsuranceforadditionalamountand/orforotherinsurancetermsisrequiredbytheBuyerspriornoticetothiseffectmustreachtheSellersbeforeshipmentandissubjecttotheSellersagreementandtheextrainsurancepremiumshallbefbrtheBuyersaccount.TheSellersshallnotbeheldresponsibleiftheyfailowingtoForceMajeurecauseorcausestomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.HowevertheSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuyersbyregisteredletterifitisrequestedbytheBuyersacertificateissuedbytheChinaCouncilforthePromotionoflnternationalTradeorbyanycompetentauthoritiesattestingtheexistenceofthesaidcauseorcauses.TheBuyersfailuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.Arbitration AlldisputesarisinginconnectionwiththisSalesContractortheexecutionthereofshallbesettledbywayofamicablenegotiation.IncasenosettlementcanbereachedthecaseatissueshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeprovisionsofthesaidCommission.TheawardbythesaidCommissionshallbedeemedasfinalandbindinguponbothparties.SupplementaryConditionsShouldthearticlesstipulatedinthisContractbeinconflictwiththefollowingsupplementaryconditions，thesupplementaryconditionsshouldbetakenasvalidandbinding.Sellers:Buyers。
